Terms and Conditions of 3D Garden Design Company
1. Definitions
In these terms and conditions, "the Company" refers to [3D Garden Design Company], and "the Client" refers to the individual or entity engaging the services of the Company.
2. Scope of Services
The Company agrees to provide garden design services as outlined in the agreed-upon proposal or contract. Services may include, but are not limited to, site analysis, concept development, design planning, plant selection, and project management.
3. Fees and Payment
The Client agrees to pay the Company the fees specified in the proposal or contract. Payment terms will be outlined in the proposal or contract and may include milestones or progress payments. Payment is due upon completion of specified stages or as otherwise agreed upon.
4. Client Obligations
The Client agrees to provide accurate and necessary information to the Company, including site measurements, preferences, and any relevant site restrictions or regulations. The Client also agrees to grant access to the site as required for the provision of services.
5. Intellectual Property
All intellectual property rights to designs, drawings, or other materials created as part of the services shall remain with the Company. The Client is granted a non-exclusive license to use these materials for the purpose of implementing the garden design.
6. Amendments and Modifications
Any amendments or modifications to the scope of work or these terms and conditions must be agreed upon in writing by both parties. Additional fees may apply for changes to the scope of work.
7. Liability
The Company shall not be liable for any loss, damage, or delay arising out of or in connection with the provision of services, except to the extent caused by the Company's negligence or breach of contract.
8. Termination
Either party may terminate the agreement upon written notice to the other party. In the event of termination, the Client agrees to pay for any services provided up to the date of termination.
9. Governing Law
These terms and conditions shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising out of or in connection with these terms and conditions shall be subject to the exclusive jurisdiction of the courts of England and Wales.
10. Entire Agreement
These terms and conditions constitute the entire agreement between the parties with respect to the subject matter hereof and supersede all prior and contemporaneous agreements and understandings, whether written or oral.
By engaging the services of the Company, the Client acknowledges that they have read, understood, and agreed to these terms and conditions.
